Terms And Conditions

Article 1 – Definitions

In these Terms and Conditions, the following definitions apply:

1.1 Contractor: Lucio Karskens, operating under the name “Lucio”, based in Utrecht, the Netherlands.
1.2 Client: The natural or legal person entering into an agreement with Lucio.
1.3 Agreement: Any agreement between Lucio and the Client regarding services provided.

Article 2 – Applicability

2.1 These Terms and Conditions apply to all quotations, agreements, and services provided by Lucio.
2.2 Any deviations are only valid if agreed upon in writing.
2.3 Any general terms and conditions of the Client are explicitly rejected.

Article 3 – Quotations & Agreements

3.1 All quotations are non-binding unless stated otherwise.
3.2 An Agreement is established upon written or verbal acceptance of a quotation.
3.3 Lucio reserves the right to refuse assignments without obligation to provide reasons.

Article 4 – Execution of Work

4.1 Lucio will execute all work to the best of his ability and in accordance with professional standards.
4.2 Lucio retains creative freedom in the execution of all assignments.
4.3 The Client is responsible for providing all necessary materials and information in a timely manner.
4.4 The quotation includes two revision rounds: one major revision and one minor revision. Revisions must fall within the original scope of the project. Additional revisions or changes beyond the agreed scope will be subject to additional fees.
4.5 If the Client fails to provide feedback or required materials within a reasonable timeframe, Lucio reserves the right to adjust deadlines and reschedule the project.
4.6 Lucio is not responsible for compatibility issues arising from the use of specific software, plugins, or versions, unless otherwise agreed in writing.

Article 5 – Payment

5.1 All prices are exclusive of VAT unless stated otherwise.
5.2 Payment must be made within 30 days of the invoice date.
5.3 Lucio may require an upfront payment before starting the project.
5.4 In case of late payment, Lucio reserves the right to suspend work until payment has been received.
5.5 Urgent requests or expedited deadlines may be subject to additional charges.
5.6 In case of late payment, statutory interest and collection costs may be charged in accordance with Dutch law.
5.7 Lucio is not obliged to retain project files after delivery of the final work.

Article 6 – Liability

6.1 Lucio’s liability is limited to the amount invoiced for the relevant project.
6.2 Lucio is not liable for indirect damages, including but not limited to loss of profit, data, or business interruption.
6.3 Lucio is not responsible for errors resulting from incorrect or incomplete information provided by the Client.

Article 7 – Intellectual Property

7.1 All intellectual property rights remain with Lucio unless otherwise agreed in writing.
7.2 The Client is granted a non-exclusive license to use the final delivered work for the agreed purpose. Any additional or extended usage, including but not limited to paid advertising, redistribution, or use beyond the initial scope, may require an additional fee.
7.3 Lucio reserves the right to use the work for portfolio and promotional purposes.
7.4 Source files, project files, and editable assets are not included in the standard delivery. These may be licensed or transferred to the Client upon request, subject to a separate fee to be agreed upon in writing.
7.5 Any third-party assets (such as stock footage, music, plugins, or models) may be subject to separate licensing terms and costs. Unless otherwise agreed, these costs and responsibilities are borne by the Client.

Article 8 – Confidentiality

8.1 Both parties agree to keep confidential information private.
8.2 This obligation remains in effect after termination of the Agreement.

Article 9 – Termination

9.1 Either party may terminate the Agreement in writing.
9.2 In case of termination, all work completed up to that point will be invoiced.
9.3 Any costs already incurred will be charged to the Client.
9.4 In case of cancellation by the Client after the start of the project, Lucio reserves the right to invoice for all work completed up to that point, as well as any time reserved and any costs already incurred.


Article 10 – Applicable Law

10.1 All agreements are governed by Dutch law.
10.2 Any disputes will be handled by the competent court in the Netherlands.
